1. Terms and conditions of business

All contracts for the provision of services by Words Europe Limited to you/your organisation are subject to the following conditions. No variation of these conditions is binding unless agreed in writing between us. By using the services of Words Europe Limited, you are deemed to have accepted the following terms and conditions.

Provision of service

  1. Throughout each project that you ask us to undertake, we aim to give:
    • quality service and advice
    • full and timely information about progress
    • an explanation of what we are doing on your behalf and why
    • the name and status of the person dealing with your project on a day-to-day basis
    • the name and status of the person with overall responsibility for your work, who you should always feel free to contact and who is available to help you, whether or not they are personally involved on a day-to-day basis.

  2. If you have any queries about, or are unhappy with, any aspect of our service, please contact the person dealing with your project on a day-to-day basis. Your queries or complaints will always be dealt with sympathetically, and as a matter of urgency. If the problem is not resolved to your satisfaction, please contact the managing director of Words Europe Limited.

  3. We are able to communicate with you by e-mail as well as by post, fax and telephone. Unless you let us know to the contrary, we will assume that you are happy for us to communicate by e-mail even though there is a risk that the communication may be intercepted and read by a third party. We cannot guarantee the confidentiality, security and/or safe delivery/receipt of e-mail and other forms of electronic communication.

  4. Words Europe Limited employees, agents and sub-contractors are not authorised to make any representation or give any advice concerning our services unless confirmed in writing by Words Europe Limited. By signing this contract and/or using this website you agree that you do not rely on any such representations unless they are confirmed in writing, and you waive any claim for a breach of representations that are not confirmed in writing.

Method of charging

  1. Projects are usually undertaken at a fixed price. Once we understand the scope and duration of your project, we provide our written estimate of charges. Typically this estimate will be sent to you by e-mail (see section 3 above).

  2. This estimate is an approximation rather than a quotation, and is therefore subject to change particularly if the scope and duration of your project changes.

  3. Our estimates are based on the number of hours we expect to spend dealing with your project, and are adjusted to reflect the:

    • complexity
    • urgency
    • importance
    • novelty
    • value

      of the work we do for you.

  4. The following tasks may be included in our estimate of the time required to undertake your project: meetings, telephone calls, correspondence, research, considering and drafting documents and other files, typesetting, proof-reading, reviewing, management, supervision and quality control.

  5. We will add to our charges the cost of:

    • travel, hotels and subsistence
    • Value Added Tax, unless there is VAT exemption.

  6. You may place a limit on the amount of charges that may be incurred without your prior approval, provided that this limit is realistic. If you wish to do this, please tell us in writing.

Payment of bills

  1. Bills will be sent to you periodically as appropriate. As a general rule, unless otherwise agreed, we will invoice you at the end of each project. This should help your budgeting and cash flow.

  2. For projects of a long duration, or those that change in scope or duration, we may invoice you for work-to-date (interim bills) as well as at the end of the project.

  3. Bills are payable within 30 days of their date, after which interest may be charged at the statutory rate.

  4. You are responsible for payment of the bill unless we have agreed otherwise, even if we have agreed to send a bill to a third party.

  5. You are responsible for payment of the bill whether or not you decide to use the service, copy or materials provided by us.

Intellectual property / liability

  1. You are responsible for the approval of all copy and materials we produce for you and any third party. Words Europe Limited is not liable for any infringement of intellectual property rights, misleading statements, misrepresentation, defamation or other liability in respect of such copy and materials.

  2. All and any intellectual property rights (including but without limitation any copyright) subsisting in the copy and materials produced by Words Europe Limited remain our sole and exclusive property unless otherwise agreed in writing.

  3. Words Europe Limited will take all reasonable steps to meet requested delivery dates. Any dates that we give for delivery of copy and materials are approximate only, and Words Europe Limited shall not be liable for a delivery delay unless agreed in writing.

  4. All matters between our organisations are subject to legislation within the United Kingdom.
